
BIOPIA – Palm Vein Biometric Authentication & Payment Platform
Effective Date: February 19, 2026These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BIOPIA Technologies ("BIOPIA," "we," "us," or "our") governing your access to and use of the BIOPIA mobile application, platform services, and associated physical terminals. By downloading, installing, registering for, or using any part of the BIOPIA service, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the BIOPIA service.

| "Merchant" | Any business or organisation that has entered into a separate agreement with BIOPIA to deploy Terminals or offer BIOPIA-enabled loyalty, payment, or access services to Users. |
| "Biometric Data" | The encrypted mathematical feature vectors derived from a User's palm vein scan, as further described in the Biometric Consent Policy. |
| "Account" | The registered user account created by a User within the BIOPIA Application. |
| "Services" | All features and capabilities provided by BIOPIA through the Application, Terminals, and associated infrastructure, including biometric authentication, loyalty card management, and transaction authorisation. |
| "Transaction" | Any payment, loyalty redemption, access event, or other financial or operational action authorised through the BIOPIA platform. |
These Terms are accepted by you upon the earliest of: (a) your download or installation of the Application; (b) your creation of an Account; (c) your use of any BIOPIA Service or Terminal; or (d) your clicking of an "I Agree," "Accept," or equivalent button within the Application or on the BIOPIA website.
Certain BIOPIA services or features may be subject to additional terms presented at the point of use. Such additional terms are incorporated into these Terms by reference. In the event of a conflict, the additional terms shall prevail with respect to the specific service to which they apply, unless otherwise stated.
The BIOPIA Services are intended exclusively for individuals who are 18 years of age or older. By creating an Account or using the Services, you represent and warrant that you are at least 18 years old. If BIOPIA becomes aware that an Account has been created by a person under 18, BIOPIA reserves the right to suspend or terminate that Account immediately and delete all associated data.
You represent and warrant that all information you provide during registration is accurate, current, and complete. Providing false, misleading, or incomplete identity information is a material breach of these Terms and may result in immediate account suspension or termination.
You represent and warrant that you have the full legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you are accessing BIOPIA on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.
BIOPIA Services are currently available in the State of Kuwait and such other jurisdictions as BIOPIA may designate from time to time. You are responsible for ensuring that your use of the Services complies with all applicable laws in your jurisdiction.
To access the full range of BIOPIA Services, you must create an Account by providing a valid email address, a secure password, and such other information as BIOPIA may require. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account.
BIOPIA offers palm vein biometric authentication as a primary or supplementary method of identity verification and transaction authorisation. Palm authentication is enabled through a voluntary enrollment process governed by the BIOPIA Biometric Consent Policy. By enrolling your palm biometric, you acknowledge that:
You are solely responsible for maintaining the security of your Account credentials and notifying BIOPIA immediately at support@biopia.ai if you suspect any unauthorised access to your Account.
Each individual may maintain only one active BIOPIA Account. Creating multiple Accounts is prohibited and constitutes a material breach of these Terms.
BIOPIA provides a biometric authentication and authorisation layer that enables Users to authenticate their identity and authorise transactions at Merchant Terminals. BIOPIA is not in all cases the payment processor, acquiring bank, card network, or issuing institution for transactions conducted through the BIOPIA platform.
By presenting your palm at a BIOPIA Terminal and completing an authentication event, you authorise the associated transaction. A successful palm authentication constitutes your electronic authorisation of the transaction in the same manner as a physical signature or PIN entry.
Transactions conducted at Merchant Terminals are subject to the Merchant's own terms of sale, refund policies, and applicable consumer protection laws. BIOPIA is not a party to the commercial relationship between you and any Merchant.
If you believe a transaction has been processed without your authorisation or in error, you must: (1) contact the Merchant directly in the first instance; (2) if unresolved, contact your payment card issuer or bank; and (3) notify BIOPIA at support@biopia.ai with details of the disputed transaction.
Loyalty points, rewards, and redemption benefits offered through BIOPIA-connected Merchant campaigns are subject to the terms and conditions of the relevant Merchant campaign. BIOPIA facilitates the issuance and redemption of loyalty benefits but does not guarantee the availability, value, or continuity of any Merchant loyalty programme.
You may use the BIOPIA Services solely for lawful personal purposes in accordance with these Terms and in a manner consistent with their intended purpose of secure biometric authentication and payment facilitation.

The BIOPIA Services are provided on an "as is" and "as available" basis without warranty of any kind. BIOPIA does not warrant that the Services will be uninterrupted, error-free, or secure. To the fullest extent permitted by applicable law, BIOPIA disclaims all implied warranties, including warranties of merchantability and fitness for a particular purpose.
BIOPIA may take the Services offline for scheduled maintenance, upgrades, or security patching. Where practicable, BIOPIA will provide advance notice through in-app notifications or the BIOPIA website.
Network failures, hardware faults, third-party service disruptions, force majeure events, and other circumstances beyond BIOPIA's reasonable control may result in service interruptions. BIOPIA is not liable for service disruptions caused by the failure of third-party systems.
All intellectual property rights in and to the BIOPIA platform — including the Application software, source code, biometric matching algorithms, feature extraction technology, Terminal firmware, user interface designs, logos, and trademarks — are owned exclusively by BIOPIA Technologies or its licensors.
Subject to your compliance with these Terms, BIOPIA grants you a limited, non-exclusive, non-transferable, revocable licence to download and use the Application on your personal device solely for the purpose of accessing the BIOPIA Services for your own personal, non-commercial use.
The palm vein feature extraction and matching algorithms used by BIOPIA constitute proprietary trade secrets. Any attempt to reverse engineer, replicate, or derive these algorithms is strictly prohibited.
Your use of the BIOPIA Services is subject to BIOPIA's Privacy Policy and Biometric Consent Policy, each of which is incorporated into these Terms by reference.
To the fullest extent permitted by applicable law, BIOPIA shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Services.
You agree to defend, indemnify, and hold harmless BIOPIA Technologies and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and fees (including reasonable legal fees) arising out of or relating to your breach of these Terms, fraudulent use of the Services, or violation of any applicable law or third-party right.
You may terminate your BIOPIA Account at any time by using the account deletion function within the Application or by submitting a written request to support@biopia.ai. Biometric data will be deleted within 72 hours of account deletion.
BIOPIA reserves the right to suspend, restrict, or terminate your Account, with or without prior notice, for security risk, legal requirement, Terms violation, or extended inactivity (24+ continuous months following 30-day advance notice).
Upon termination: (a) all licences granted to you terminate immediately; (b) you must cease all use of the Application; (c) BIOPIA will process data deletion per the Privacy Policy; and (d) provisions that by their nature survive termination — including Sections 7, 9, 10, and 12 — remain in full force.
These Terms shall be governed by and construed in accordance with the laws of the State of Kuwait, without regard to its conflict of law provisions. The courts of Kuwait City, Kuwait shall have exclusive jurisdiction.
Before initiating any formal legal proceedings, you agree to contact BIOPIA at support@biopia.ai to attempt to resolve the dispute informally. BIOPIA will use reasonable efforts to resolve the dispute within 30 days of receiving written notice.
These Terms are written in English. Where a translation is provided for convenience, the English version shall prevail in the event of any inconsistency.
BIOPIA reserves the right to modify these Terms at any time. For material changes, BIOPIA will provide advance notice of at least 14 days through in-app notification, email to your registered address, or a notice on the BIOPIA website. Your continued use of the BIOPIA Services after the effective date of any modification constitutes acceptance of the modified Terms.
